Service Terms and Conditions

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING, USING, OR REGISTERING FOR AN ACCOUNT OR THE SERVICES.

These Service Terms and Conditions ("Terms") are a legal agreement between you and Quola ("Quola", "we", "us", or "our"). By creating an account, accessing the platform, or clicking to accept these Terms, you agree to be bound by them, our Privacy Policy, and all applicable laws. If you do not agree to any provision in these Terms or our Privacy Policy, you must stop using the Services.

1. The Services

Quola operates a data collection platform that lets requester organisations design projects, build forms, and gather structured submissions — including photos, audio, video, and GPS data — through web and mobile applications. Field data collectors use Quola to discover, complete, and submit work. The platform, our website, our APIs, and any related software, documentation, support, and features we offer from time to time are collectively the "Services".

You are solely responsible for the projects and forms you create, the accuracy and legality of their content, and the use you make of any data collected through them.

2. Account Eligibility

The Services are offered to individuals and organisations. To create an account, you must be at least 18 years old. If you are signing up on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms, and references to "you" include both you personally and the organisation, jointly and severally.

You also represent that you are not located in a country subject to a comprehensive embargo applicable to Quola, and that you are not listed on any restricted-party list. If applicable law prohibits you from accessing the Services, you may not use them.

3. Accounts, Members, and Credentials

You must register to access the Services and provide true, current, complete, and accurate information at sign-up and thereafter. An organisation account may include additional Members(users invited under the organisation's plan, subject to its seat limit) who hold their own credentials and act under the organisation's permissions.

Credentials must be kept confidential and may not be shared with anyone outside your Members. You are responsible for all activity under your account. Notify us immediately at support@quola.io if you suspect unauthorised use of your account.

4. Plans and Subscriptions

Once your account is created, our Free plan is available subject to the limits we publish on our pricing page (including a cap on active projects, monthly submissions, AI-generated projects, file uploads, members, and access to features such as teams and submission review).

You may upgrade to a Pro or Enterpriseplan (each a "Paid Plan") for additional capacity and features. Paid Plans run for a monthly or annual Subscription Period and automatically renew at the end of each period at the then-current price unless cancelled in your account settings before renewal.

We may add, change, or remove features and adjust plan limits from time to time. Plan definitions and pricing are described on our pricing page and may evolve as the product evolves.

5. Fees, Taxes, and Billing Disputes

Fees for Paid Plans are due in advance for each Subscription Period and are non-refundable except where required by law. Fees are exclusive of taxes, levies, and duties of any kind, and you are responsible for any such amounts assessed on your purchases (other than taxes on our net income).

Billing disputes must be raised within thirty (30) days of the invoice or charge. After that, you waive any right to dispute the amount. A pending dispute does not excuse timely payment of undisputed amounts. Failure to pay may result in suspension or downgrade of your account.

6. Term, Cancellation, and Termination

These Terms apply for as long as you have a Quola account. You may cancel a Paid Plan at any time from your account settings; cancellation takes effect at the end of the current Subscription Period, after which the account is downgraded to the Free plan. You may delete your account entirely at any time.

We may suspend or terminate your account, with or without notice, if you breach these Terms, if your account is used for fraud or unlawful activity, if you fail to pay fees when due, or if we are required to do so by law. We may also terminate inactive Free-plan accounts that have not been accessed for twenty-four (24) consecutive months. Termination may result in loss of project data and submissions.

7. Acceptable Use

You agree not to:

  • Access the Services other than through interfaces we provide
  • Bypass, disable, or interfere with security measures, rate limits, plan gates, or feature restrictions
  • Reverse engineer, decompile, or disassemble the Services, except as permitted by law
  • Use the Services as generic hosting, a data warehouse, or to operate web pages unrelated to data collection
  • Use scrapers, crawlers, or other automated means to access the Services other than via documented APIs
  • Send spam, unsolicited messages, malware, or content that infringes, defames, harasses, threatens, or is unlawful
  • Collect payment card details, passwords, or other sensitive credentials through Quola forms, except using fields we explicitly designate for that purpose
  • Impersonate any person or misrepresent your affiliation with any individual or organisation
  • Conduct vulnerability scanning, load testing, or penetration testing without our prior written consent
  • Fabricate, manipulate, or solicit fraudulent submissions, including duplicate or bot-generated responses
  • Use the Services to monitor our availability or performance for benchmarking or competitive purposes

We may suspend the Services in response to abuse — including denial-of-service or similar attacks against your forms — even where the abuse is not caused by you.

8. Your Content and Submissions

You retain ownership of the projects, forms, branding, files, and other materials you upload to Quola ("Your Content"), and of the submission data collected through your projects. These Terms do not transfer ownership of Your Content to us.

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display Your Content solely as needed to operate, maintain, and improve the Services for you. We may also use aggregated, de-identified data derived from the Services to analyse usage and improve the product.

You represent and warrant that you have all rights necessary to upload and process Your Content through the Services, that Your Content does not infringe third-party rights, and that it complies with applicable law. We may remove content that we reasonably believe violates these Terms or the law, without prior notice where required.

9. Data Collection Projects and Respondents

If you operate as a requester organisation, you are the data controller for the submissions you commission. You are responsible for:

  • Obtaining all consents required under applicable data-protection law from respondents and collectors
  • Providing respondents with clear notice of how their data will be used and by whom
  • Configuring your projects, access modes, and collection modes lawfully (including where personal data, health data, or sensitive categories are involved)
  • Honouring requests from respondents regarding their personal information

Quola acts as a data processor for submission content collected on your behalf, as described in our Privacy Policy. If you are a collector, you must follow the requester organisation's instructions and any consent requirements communicated to you in-platform.

10. Third-Party Services and Integrations

The Services may interoperate with third-party services — for example, payment providers, identity providers, mapping services, file storage, and webhooks you configure. Your use of those services is governed by the third party's own terms, and we are not responsible for the availability, accuracy, or actions of those services.

When you choose to send data to a third party through Quola (including via webhooks or API integrations), you do so at your own risk. We recommend reviewing each third party's terms and privacy practices before connecting them to your account.

11. Beta and Early-Access Features

From time to time we may offer alpha, beta, preview, or early-access features ("Beta Features"). Beta Features are provided "as is" for evaluation purposes, are not covered by any service-level commitments, may contain bugs, may produce unexpected results, and may be changed or discontinued at any time without notice. Sections 12 and 13 apply with full force to Beta Features.

12. Service Changes and Availability

We continuously update the Services and may add, modify, or remove functionality at any time. While we aim for high availability, the Services are provided on an "as available" basis and may be temporarily unavailable due to maintenance, third-party outages, or events beyond our reasonable control.

13. Disclaimers

To the fullest extent permitted by applicable law, the Services are provided "as is" and "as available", with all faults. Quola disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Services will be uninterrupted, error-free, secure, or free from viruses or harmful components.

You may have additional non-waivable rights under your local consumer-protection laws; nothing in these Terms is intended to override those rights.

14. Limitation of Liability

To the maximum extent permitted by law, Quola will not be liable for any indirect, consequential, incidental, exemplary, punitive, or special damages — including loss of data, revenue, profits, goodwill, or other intangible losses — arising from or relating to these Terms or the Services.

Quola's total aggregate liability for direct damages, under any theory of liability, will not exceed the amount you paid to Quola in the twelve (12) months preceding the event giving rise to the claim, or, for free accounts, one hundred United States dollars (USD 100).

The limitations in this section reflect a reasonable allocation of risk between you and us and apply even if a remedy fails of its essential purpose.

15. Indemnity

You will defend, indemnify, and hold harmless Quola and its officers, directors, employees, and contractors from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Services, (b) Your Content or submissions collected through your projects, (c) your breach of these Terms, or (d) your violation of any applicable law or any third party's rights.

16. Changes to These Terms

We may update these Terms from time to time. For material changes, we will give reasonable notice by email or in-product notification before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services and may cancel your account.

17. General

Entire agreement. These Terms, together with our Privacy Policy and any plan-specific terms referenced on our pricing page, form the entire agreement between you and Quola regarding the Services and supersede any prior agreements on the same subject.

Severability.If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force, and the unenforceable provision will be construed to come closest to the parties' original intent within the limits of applicable law.

No waiver. Our failure to enforce any right under these Terms is not a waiver of that right.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

Force majeure. Neither party will be liable for any delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including acts of God, natural disasters, internet or infrastructure outages, government action, or labour disputes.

Feedback. Any suggestions, ideas, or feedback you provide about the Services are non-confidential, and we may use them without restriction or compensation.

Publicity. If you use Quola as an organisation, you grant us a limited, non-exclusive licence to use your name and logo to identify you as a Quola customer on our website and marketing materials, subject to any brand guidelines you provide.
